General Terms Of Piqla Corporate Service

This document sets out the terms of use for the Service as defined below. Please read these terms of use carefully, as changes may be made from time to time, which shall come into effect in accordance with the conditions contained herein. Please only check the Terms and conditions box when you have read, understood and accept the terms and conditions here within . By checking the “I accept” button it will be considered to be your acknowledgement and acceptance of the terms for using the PIQLA service.

These Terms of Use (“Terms”) govern the access and use by you as a customer of PIqla (the “Services”) made available by Piqla. Ltd and all relevant subsidiarias (as set out in Annex 1 herein) on the Piqla Platform. Your access and use of the Services constitutes your agreement to be bound by these Terms, which establishes a contractual relationship between you and Piqla ride hailing entity as set out in Annex 1 (“Piqla Rides”).

The Services offered directly by PIQLA are made available on the Piqla Platform and will be accessed in connection with services and content (including advertising) of Piqla. You acknowledge that different terms of use and privacy policies may apply to your use of the Piqla Platform and they will be shared with you from time to time by Piqla. Piqla over time may also allow other vehicle service providers to use Piqla Platform to offer similar services against a service fee.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES.

1. General Community Guidelines

Guidelines for all of us

Everyone who signs up for PIQLA Rides is required to follow these Community Guidelines. They reflect the following 3 pillars and the standards in each of these sections.

Treat everyone with respect

Our community is remarkably diverse and, chances are, you will encounter people who might not look like you or share your beliefs. The guidelines in this section help to foster positive interactions during every experience.

Help keep one another safe

We’re hard at work every day to help create safer experiences for everyone. Your safety drives us. That’s why these standards were written

Follow the law

We’re committed to following all applicable laws and earning your trust, and we expect everyone who uses our apps to do their part and adhere to applicable laws and regulations

Your feedback matters

If something happens, whether it’s good or bad, we make it easy for you to tell us. We encourage our customers to rate their ride experience and share their feedback of each ride they book with us. Our team is continuously improving our standards, and your feedback is important so that we can take appropriate action and keep our standards relevant as our technology evolves.

Use With Care

To guarantee passenger safety and comfort, we enforce several rules. No smoking is permitted to preserve a clean environment. Eating and drinking are disallowed to prevent messes. Illegal substance use and unlawful behaviors are banned, as is disturbing or harassing others. Additionally, pets are not allowed, and the vehicle's capacity at booking is fixed—no extra passengers are permitted. We also don't provide child seats; customers should bring their own. Following these policies ensures a pleasant taxi experience for all.

Treat everyone with respect

Treat your fellow PIQLA Rides users as you would like to be treated yourself: with respect. The actions you take while using the PIQLA Rides Service can have a big impact on the safety and comfort of others. Courtesy matters. That’s why you are expected to exercise good judgment and behave decently towards other people when using the PIQLA Rides—just as you would in any public place.

For example, always try to be on time for your ride because nobody likes to wait. It’s also common courtesy not to shout, swear or slam doors. And by tidying up after yourself—whether it’s taking your rubbish home or cleaning up a spilt drink—you’ll help keep the car in good condition and help ensure the next person has a pleasant ride, too. Most importantly, remember that when you use PIQLA Rides you will meet people who may look differently or think differently from you. Please respect those differences. We believe that everyone should feel welcomed when they use the Piqla Platform services. That’s why we’ve created standards on physical contact, personal space and privacy, threatening and rude behaviour, unwanted contact, discrimination, and property damage

Physical contact

Don’t touch strangers or anyone you just met while using the Piqla Platform services. Hurting or intending to hurt anyone is never allowed.

Personal space and privacy

We all value our personal space and privacy. It’s okay to chat with other people.

Personal space and privacy should be respected. The following list provides examples of inappropriate conduct, but is not exhaustive

  • Behaviour and comments that could make people feel uncomfortable are not acceptable. Examples include nudges, whistles, and winks. Don’t touch or flirt with people you don’t know
  • Certain conversations that could be perceived as harmless can be offensive. Don’t comment on appearance. Refrain from asking unrelated personal questions, such as “Are you in a relationship?” Avoid discussing your own or someone else’s private life or using explicit language.
  • Physical contact is prohibited while using the Piqla Platform services, regardless of whether you know the person or they give you their consent.
Threatening and rude behaviour

Aggressive, confrontational, or harassing behaviour is not allowed. Don’t use language or make gestures that could be disrespectful, threatening, or inappropriate. It is a good idea to stay away from personal topics that can potentially be divisive, like religion and political beliefs.

Unwanted contact

Contact should end when the trip is complete, unless it’s to return a lost item or with mutual consent. For example, texting, calling, social media contact, visiting, or trying to visit someone in person after a trip has been completed is not allowed.

Discrimination

You should always feel safe and welcome. That’s why we don’t tolerate conduct we’ve determined to be discriminatory. Do not discriminate against someone based on traits such as their age, colour, disability, gender identity, marital or civil partnership status, pregnancy or maternity, national origin, appearance, race, religion or belief, political views or any other characteristic protected under relevant law.

For example, it is unacceptable to refuse to provide services based on characteristics like a person’s age, colour, disability, gender identity, marital or civil partnership status, pregnancy or maternity, national origin, appearance, race, religion or belief, political views or any other characteristic protected under relevant law. It is also unacceptable to rate another user—whether they’re a PIQLA Captain or user—based on these traits

PIQLA Rides prohibits discrimination against users based on race, religion, national origin, disability, sexual orientation, sex, marital status, gender identity, age or any other characteristic protected under applicable law. Such discrimination includes, but is not limited to, any user refusing to provide or accept services based on any of these characteristics. Any user found to have violated this prohibition will lose access to Piqla Platform services. Applicable laws in certain jurisdictions may require and/or allow the provision of services by and for the benefit of a specific category of persons. In such jurisdictions, services provided in compliance with these laws and the relevant applicable terms are permissible under this clause.

PIQLA Drivers using the PIQLA app must comply with all relevant laws governing the transportation of users with disabilities, including transporting wheelchairs and service animals.

Property damage and locking

Damaging property is never allowed. Some examples include damaging or tampering with the car requested through the Piqla Platform services; breaking or vandalising a phone or tablet; intentionally spilling food or drink; smoking in a car; or vomiting due to excessive alcohol consumption or otherwise. If you damage property, you’re responsible for the cost of cleaning and repair fees, outside of normal wear and tear.

Help keep one another safe

Everyone has a role to play in helping to create a safe environment. That’s why we have standards on account sharing, account holder age, and more.

Account sharing

Account sharing is not allowed, unless expressly permitted in our guidelines, terms, or other policies. To use the Piqla Platform services, you need to register and maintain your own active account. You should not let another person use your account, and never share your personal details, including username, password or biometric data, with anyone else. The bank account that is linked to your account must also be in your name.

People under the age of 18

You must be 18 years or older to have a user or PIQLA Captain account. Account holders are not allowed to request a ride for someone under the age of 18 who will not be accompanied by an adult during the ride. This section applies unless there is an express deviation in our guidelines, terms or other policies.

Extra passengers

When driving using the Piqla Platform services, no one other than a requesting user and the user’s guests are permitted in the vehicle.

When riding with the Piqla Platform services, each person on the trip is responsible for their own actions and omissions, however the account holder is ultimately responsible for the behaviour of all their guests. If you request a ride for another adult (if permitted in your area), you’re held responsible for their behaviour (and the behaviour of any child accompanying that adult) during their trip.

Vehicle information

For an easy pickup, the Piqla Platform services give users identifying information about the PIQLA Drivers and their vehicles, including but not limited to their licence plate number, vehicle make and model, profile picture, and name. Inaccurate or outdated information creates confusion among users and can diminish their experience using the Piqla Platform services. PIQLA Drivers must take trips using only approved vehicles - this can be imperative to ensuring that PIQLA Drivers, and PIQLA Rides are compliant with applicable laws and regulations. PIQLA Drivers must ensure that PIQLA Rides always has accurate information about their vehicle.

Seat belts

Seat belt use can be the most effective way to save lives and reduce injuries related to car crashes. Every PIQLA Captain and user —including those in the back seat—should always buckle up. Users should always request a car that has enough seats for everyone in their party. PIQLA Drivers and users should not take trips where the number of passengers exceeds the number of seat belts in the car, and must comply with all applicable seat belt laws. PIQLA Drivers should decline a ride if there are not enough seats with seat belts for every passenger in their car.

Use of cameras or other video or audio recording devices

Anyone using the Piqla Platform services may choose to record all or part of a trip to the extent permitted by applicable laws, including to document an issue that they may wish to report to PIQLA Rides or a relevant authority. Applicable laws or regulations may require any individual using recording equipment to notify and/or obtain consent of anyone being recorded. Broadcasting a person’s image, audio, or video recording without formal consent is not allowed.

Be alert

Being out on the road means doing your part to help keep yourself and others safe. This means keeping your eyes on the road, being well rested, and watching for situations that may require quick action. We review reports of potentially unsafe driving behaviour

Share the road

Safe roads means practising safe behaviour, which includes looking out for all travellers, regardless of how they get around.

Public emergencies

PIQLA Ltd. may take additional measures to try to preserve safety on Piqla Platform services during public emergencies, including but not limited to natural disasters, public health emergencies and public crisis situations

For example, if PIQLA Ltd. receives notice from a public health authority that someone using the PIQLA Ltd. Services may present a potential for public harm, we may suspend the individual’s account until it is reasonably safe to allow the individual to resume using the Piqla Platform services. Similarly, we may prevent individuals in an entire city or region from using part or all of the Piqla Platform services in order to comply with guidance from authorities during a time of public health emergency, natural disaster or other public crisis situation, or when the continued availability of the Piqla Platform services might present a clear and present danger.

Follow the law

We have standards based on applicable laws and regulations that everyone must follow. For example, using the Piqla Platform services to commit or attempt to commit any crime—such as transporting drugs, money laundering, committing drug or human trafficking and breaching modern slavery laws—or to violate any other law or regulation is strictly prohibited.

Car seats

PIQLA Drivers and users should comply with applicable laws when traveling with infants and small children. When riding with children, it’s the user’s responsibility to provide and fit a suitable car seat unless the law says otherwise.

Follow all laws

Everyone is responsible for knowing and obeying all applicable laws and regulations at all times when using the Piqla Platform services. This includes airport rules and regulations and the rules of the road, such as speed and traffic laws.

All relevant licences, permits and any other legal documents required of PIQLA Drivers, and any other user of the Piqla Platform services, must be obtained and kept up to date. Anyone using a vehicle is required by law to maintain a valid driver’s licence and insurance. PIQLA Drivers must also meet the applicable regulatory requirements in your area. We review reports of collisions or traffic offences that may have happened during a trip and other reports that may indicate poor, unsafe, or distracted driving while using the Piqla Platform services. Local rules about parking may limit where you can park your vehicle when waiting for users to arrive.

For users, let your PIQLA Captain handle the driving. For example, don’t touch the steering wheel, and don’t tamper with the gear stick or other knobs, buttons, or components that are used to operate a vehicle. Don’t ask a PIQLA Captain to speed or to make illegal stops, or maneuvers. Following local rules of the road usually requires you to yield to pedestrians, ride in the direction of traffic, signal if you’re planning to change direction, and come to a complete stop at red lights and stop signs.

Pets on Board

To ensure the comfort and cleanliness of our vehicles, Piqla enforces a strict no-pets policy. Customers intending to travel with pets must not use the Piqla platform to book vehicles. Any attempts to negotiate pet transportation with the driver are prohibited. Violations of this policy may result in permanent loss of access to the Piqla platform for both the driver and the customer involved.

Drugs and alcohol

If you’re a PIQLA Captain, by law, you cannot drive while intoxicated. The law prohibits driving while under the influence of alcohol beyond the legal limits, drugs, or any other substance that impairs your ability to safely operate a vehicle. Users should not take open containers of alcohol, or be under the influence of drugs, on a trip. If you encounter a user who is too drunk or rowdy, you have the right to decline the trip for your own safety.

If you’re a user and you have reason to believe your PIQLA Captain may be under the influence of drugs or alcohol, ask the PIQLA Captain to end the trip immediately. Then exit the car and call your local authorities or emergency services. Once you have left the vehicle, please also report your experience to PIQLA Rides.

Firearms ban

Users and their guests, as well as PIQLA Drivers, are prohibited from carrying firearms of any kind while using the Piqla Platform services. Our goal is to ensure that everyone has a safe and reliable ride. That’s why PIQLA Rides prohibits users and their guests, as well as drivers, from carrying firearms of any kind while using the Piqla Platform services. Anyone who violates this restriction may lose access to the PIQLA Services.

Fraud

Deception can weaken trust and also be dangerous. Intentionally falsifying information or assuming someone else’s identity (or allowing someone else to assume your identity), for example when signing in or undergoing a security check, isn’t allowed. It is important to provide accurate information when reporting incidents, creating and accessing the Piqla Platform services, disputing charges or fees, and requesting credits. Only request fees, charges or refunds that you’re entitled to, and use offers and promotions only as intended. Don’t knowingly complete invalid transactions.

Fraudulent activity may also include, but not be limited to: deliberately increasing the time or distance of a trip for fraudulent purposes or otherwise; confirming trip without the intention to complete, including provoking users to cancel for fraudulent purposes; creating dummy accounts for fraudulent purposes; claiming fraudulent fees or charges, like false cleaning fees; intentionally requesting, confirming availability for, or completing fraudulent or falsified trips; actions intended to disrupt or manipulate the normal functioning of the Piqla Platform services, including manipulating the settings on a phone to prevent the proper functioning of the Services on the app, and the GPS system; abusing promotions and/or not using them for their intended purpose; disputing fees or charges for fraudulent or illegitimate reasons; or creating improper duplicate accounts; or falsifying documents, records, or other data for fraudulent purposes.

Unacceptable activities

PIQLA Drivers should never solicit or accept payment outside the Piqla Platform services, unless a user is utilising an option to provide payment by cash facilitated by PIQLA Rides.

Never use PIQLA Rides trademark or intellectual property without permission. If it’s required under local law to display PIQLA Rides-branded items, PIQLA Drivers should only use PIQLA Rides-branded items that are obtained from Piqla Platform services. PIQLA Drivers should return such PIQLA Ridesbranded items to PIQLA Rides if they lose access to the Services. PIQLA Drivers should not display PIQLA Rides-branded items when they are not accessing the Services. The use of unauthorised or third-party items—such as lights, placards, signs, or similar items bearing PIQLA Rides name or trademark—may confuse users.

Your feedback matters

If something happens, whether it’s good or bad, we make it easy for you to tell us. Our team is continuously improving our standards, and your feedback is important to keep our standards relevant as our technology evolves. Please rate your experience at the end of each trip. Honest feedback helps ensure that everyone is accountable for their behavior. This accountability helps create a respectful, safe environment. If an incident such as a traffic accident happens, you can swiftly access our support team. Simply look for the blue shield icon labeled “Safety” at the top-right corner of the screen, which opens the Safety Toolkit. From there, tap “Report Accident” for immediate support. If your ride has concluded but you have safety concerns, go to your past ride activities in the PIQLA App and select the ‘Report a Problem’ button.

In emergencies during an active ride, users and captains have quick access to critical resources. For users, tap on the blue shield icon at the top-right of the screen, opening the Safety Toolkit. Options include “Safety Center,” a comprehensive hub for safety information; “Share Ride Details” for live tracking; “Report Accidents” for immediate support; and “Emergency Help,” which connects you to local law enforcement. For captains, an alert button represented by a red information sign triangle at the bottom-right corner of the interface connects you to our Safety Operations Center (SOC) during an active ride

In case of an emergency or if you find yourself in immediate danger, alert your emergency services and local authorities before notifying PIQLA Rides.

Ratings

After every trip PIQLA Drivers and users may be able to rate each other on a scale of one to five stars, as well as give feedback on how the trip went. This feedback system improves accountability and helps create a respectful, safe, and transparent environment for everyone. PIQLA Drivers can see their current rating in the Feedback section of the app. Where applicable, users can see their rating displayed under their name by opening the app and touching the menu.

Where applicable, there is a minimum average rating in each city. These may vary between cities because there may be cultural differences in the way people in different cities rate each other. PIQLA Drivers and users that don’t meet the minimum average rating for their city may lose access to the Piqla Platform. If you lose access to the Piqla Platform as a result of your rating, we may share information that may help you improve your rating.

Where applicable, if you are a PIQLA Captain or a user, your rating is an average rating based on a specific number of rated trips determined by PIQLA. If you’re looking to keep your average rating high, it’s helpful to be courteous and respectful to all people while using the Piqla Platform services. PIQLA Drivers using the Piqla Platform services typically provide excellent service and most users are courteous and respectful, so most trips run smoothly. But we know that sometimes a trip doesn’t go well—that’s why your rating is an average rating.
If you believe an error caused you to lose access to the Piqla Platform services, you may contact the PIQLA support team. If you lose access to your account, you may not be able to access the Piqla Platform services.

Trip confirmations

PIQLA Drivers are independent and PIQLA Rides does not require anyone to log on or take any trips. If you’re a PIQLA Captain and you don’t want to confirm availability for trip requests, you can just log off. For PIQLA Drivers, if you consistently decline consecutive trips in a row, our technology may assume you do not want to confirm availability for more trips or have forgotten to log out, and you may be temporarily logged out. However, you are free to log back in at any time you wish to begin confirming availability for trips again.

How Piqla enforces these guidelines

Losing access to the Piqla Platform services may be disruptive to your life or to your business. That’s why we believe it is important to have clear standards that explain the circumstances in which you may lose access to the Piqla Platform services. If you violate any applicable terms of use, terms of the contractual agreement you agreed to when signing up for use of the Piqla Platform services, or any of these Community Guidelines, you can lose access to the Piqla Platform services. And if you have more than one account, such as a user account and a PIQLA Captain account, violating the Community Guidelines could also lead you to lose access to all accounts.

PIQLA Platform receives feedback through a variety of channels, reviews reports submitted to our support team that may violate our Community Guidelines, and may investigate through a specialised team. If we are made aware of potentially problematic behaviour, we may contact you so we can look into it. We may, at our sole discretion, put a hold on your account or turn your account inactive until our review is complete. There may be times, whether due to privacy reasons or as required by regulators or the police, that we are not able to share any information with you about why you may be temporarily unable to access the Piqla Platform services. We will do what we can to ensure that you are made aware of why your access has been restricted as well as resolving any investigation as quickly as possible.

Not following any one of our guidelines may result in the loss of access to all or part of the Piqla Platform services. This may include reported violations of our Community Guidelines and certain actions you may take outside of the app, including but not limited to information from other platforms, if we determine that those actions threaten the safety of the Piqla Platform services community, our employees, and contractors, or cause harm to PIQLA Rides brand, reputation, or business. And if the issues raised are serious or a repeat report, or you refuse to cooperate, you may lose access to the Piqla Platform services. Any behaviour involving violence, harassment, discrimination, or illegal activity while using the Piqla Platform services can result in the immediate loss of access to the Piqla Platform services. Additionally, when law enforcement is involved, we will cooperate with their investigation in accordance with our law enforcement guidelines.

Lastly, PIQLA Drivers wanting to use the Piqla Platform services may undergo a screening process, including motor vehicle record check and background checks as applicable. A PIQLA Captain may lose access to the Piqla Platform services if any routine motor vehicle record or background checks uncover a violation of PIQLA Rides Community Guidelines or other criteria required by local regulators

2. The Services

The Services enable you, through the PIQLA Platform, to arrange and schedule transportation services with PIQLA including services offered via fleet of Piqla owned vehicles as well as independent third party transportation providers under agreement with the PIQLA Ltd. All such independent third party transportation providers shall hereonwards be referred as “Third Party Providers”.

Unless otherwise agreed by PIQLA Ltd. in a separate written agreement with you, the Services are made available solely for your personal, non-commercial use.

License.

Subject to your compliance with these Terms, PIQLA Ltd. grants you a limited, non-exclusive, nonsublicensable, revocable, non-transferable license to: (i) access and use the Services on your personal device solely in connection with your use of the Services; and (ii) access and use any content, information and related materials that may be made available through the Services, in each case solely for your personal, noncommercial use. Any rights not expressly granted herein are reserved by the PIQLA Rides Group and the PIQLA Rides Group’s licensors.

Restrictions.

You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Services; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services except as expressly permitted by PIQLA Ltd; (iii) decompile, reverse engineer or disassemble the Services except as may be permitted by applicable law; (iv) link to, mirror or frame any portion of the Services; (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services; or (vi) attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.

Provision of the Services.

You acknowledge that portions of the Services may be made available under PIQLA managed via Drivers directly hired by PIQLA. You also acknowledge that the Services may be made available under such brands or request options by or in connection with: (i) certain of PIQLA affiliates; or (ii) independent Third Party Providers, including transportation network companies, transportation charter permit holders or holders of similar transportation permits, authorizations or licenses.

Third Party Services and Content.

The Services are made available and will be accessed in connection with third party services and content (including advertising) that the PIQLA Ltd. does not control. You acknowledge that different terms of use and privacy policies may apply to your use of such third party services and content. The PIQLA Ltd. does not endorse such third party services and content and in no event shall PIQLA Ltd. be responsible or liable for any products or services of such third party providers. Additionally, Apple Inc., or Google, Inc.,and/or their applicable international subsidiaries and affiliates will be third-party beneficiaries to this contract if you access the Services using Applications developed for Apple iOS or Android, powered mobile devices, respectively. These third party beneficiaries are not parties to this contract and are not responsible for the provision or support of the Services in any manner. Your access to the Services using these devices is subject to terms set forth in the applicable third party beneficiary’s terms of service.

Ownership.

The Services and all rights therein are and shall remain the PIQLA Ltd. property. Neither these Terms nor your use of the Services convey or grant to you any rights: (i) in or related to the Services except for the limited license granted above; or (ii) to use or reference in any manner the PIQLA Rides Group’s company names, logos, product and service names, trademarks or services marks or those of PIQLA Rides Group’s licensors.

3. Your Use of the Services

User Accounts.

In order to access and use the Services, you must register for and maintain an active personal user account on the PIQLA Platform (“Account”). You must be at least 18 years of age,). Account registration requires you to submit to PIQLA Ltd. certain personal information, such as your name, address, mobile phone number and age. You may be required to add a valid payment method (such as credit card or other eligible digital payment method) in order to access and use the Services. Your failure to maintain accurate, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in your inability to access and use the Services and may also result in PIQLA Rides’ terminating this Agreement with you. You are responsible for all activity that occurs under your Account, even as a result of loss or theft of the device through which you access the PIQLA Platform. Should you suspect that any other person may be using Services through your Account, or you suspect any other breach of security, you must notify us immediately.

User Requirements and Conduct.

The Services are not available for use by persons under the age of 18. You may not allow persons under the age of 18 to receive transportation from Third Party Providers unless they are accompanied by you. These age limitations apply unless PIQLA Rides’ guidelines, terms or policies for your local market say otherwise. You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes (e.g., no transport of unlawful or hazardous materials). You will not, in your use of the Services, cause nuisance, annoyance, inconvenience, or property damage, whether to the Third Party Provider or any other party. In certain instances you may be asked to provide proof of identity to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide proof of identity.

Users shall not misuse the Third Party Provider’s vehicles or use such vehicles for any illegal purposes.

Users shall not engage in any illegal activities while availing from a transportation service such as sexual acts, drinking alcohol, smoking or carrying any kind of drugs of narcotics. Users will be solely responsible for any such prohibited acts.

Text Messaging.

By creating an Account and availing of the Services, you agree to receive communications from us, including via e-mail, text message, calls, and push notifications. You agree that texts, calls or prerecorded messages may be generated by automatic telephone dialing systems (where allowed by and in compliance with local law). Communications from PIQLA Ltd. may include, but are not limited to: operational communications concerning your User Account and the Services; updates concerning new and existing features on PIQLA platform; communications concerning promotions run by us or our third-party partners; and news concerning PIQLA platform and industry developments. Standard text messaging charges applied by your cell phone carrier will apply to text messages we send. Promotional Codes

PIQLA Rides may, in its sole discretion, create promotional codes that may be redeemed for the Services, or other features or benefits related to the Services, subject to any additional terms that PIQLA Rides establishes for the promotional code (“Promo Codes”). You agree that Promo Codes: (i) must be used for the intended audience and purpose, and in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public form or otherwise), unless expressly permitted by PIQLA Rides; (iii) may be disabled by PIQLA Rides at any time for any reason without liability to the PIQLA Rides Group; (iv) may only be used pursuant to the specific terms that PIQLA Rides establishes for such Promo Code; (v) are not valid for cash; and (vi) may expire prior to your use. PIQLA Rides reserves the right to withhold or deduct such promotional credits or other features or benefits obtained through the use of Promo Codes by you or any other user in the event that PIQLA Rides determines or believes that the use or redemption of the Promo Code was in error, fraudulent, illegal, or in violation of the applicable Promo Code terms or these Terms

You may be entitled to purchase through PIQLA platform bundles to be used on the Platform (“PIQLA Bundles”), subject to their terms and conditions, or you may receive trip promotions (“Trip Promotions”) that you can apply toward payment of Services.

PIQLA Bundles, Trip Promotions and discount coupons are only valid for use on the Services through the Platform and are not transferable or redeemable for cash and may only be used for certain Services as notified to you. Additional restrictions on PIQLA Bundles and Trip Promotions may apply as communicated to you in a relevant promotion or specific terms. PIQLA Ltd. may cancel, or vary the terms, relating to any PIQLA Bundles and Trip Promotions at any time in its sole discretion.

You may receive promotional or ride settlements credit in your PIQLA wallet. This credit is only valid to be used on the service through the platform and are not transferable or redeemable for cash. The credit may be used for paying for any ride Additional restriction on the use may apply to use of this credit.

User Provided Content.

PIQLA platform may, in its sole discretion, permit you from time to time to submit, upload, publish or otherwise make available Services that are textual, audio, and/or visual content and information, including commentary and feedback related to the Services, initiation of support requests, and submission of entries for competitions and promotions (“User Content”) on the Piqla platform. Any User Content provided by you remains your property. However, by providing User Content to PIQLA Rides, you grant PIQLA Rides a worldwide, perpetual, irrevocable, transferrable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Services and PIQLA Rides’ business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

You represent and warrant that any User Content you provide complies with and does not violate PIQLA Ltd., User Generated Content Terms located here, including the following representations and warranties: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents and releases necessary to grant PIQLA Rides the license to the User Content as set forth above; and (ii) neither the User Content nor your submission, uploading, publishing or otherwise making available of such User Content nor the PIQLA Rides Group’s use of the User Content as permitted herein will infringe, misappropriate or violate a third party’s intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. For the purpose of these Terms and for the avoidance of doubt, any reference to “Piqla’s platform(s), tools, or social media channels” or “Services” in the User Generated Content Terms will be deemed a reference to the Services as defined in these Terms.

Network Access and Devices.

You are responsible for obtaining the data network access necessary to use the Services. Your mobile network’s data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device and you shall be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services. PIQLA Rides does not guarantee that the Services, or any portion thereof, will function on any particular hardware or devices. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

4. Payment

You understand that use of the Services may result in charges to you for the services or goods you receive (“Charges ”). Piqla Platform at the time of service booking will clearly communicate the estimated fare range for any ride. Please note this fare is an estimate based on several factors including but not limited to the estimated distance, expected time to get to the destination, waiting time, traffic conditions etc. After you have received services obtained through your use of the Service, and pay via a digital payment method (Not CASH), Piqla ltd. Via Piqla Platform will facilitate your payment of the applicable Charges through a third party payment facilitator (Mobile wallets/ debit cards or credit cards via payment gateway). Payment of the Charges in such manner shall be considered the same as payment made directly by you Piqla Ltd. Payment will only be considered received once the driver has received the formal notification of payment receipt on Piqla Platform or on the formal notification channels provided by the third party payment platform. Charges will be inclusive of applicable taxes where required by law. Charges paid by you are final and nonrefundable, unless otherwise determined by Piqla Ltd. As a user you do not retain the right to request lower Charges or negotiate on the price. Piqla Platform via the Piqla Platform will respond accordingly to any request from a Third Party Provider to modify the Charges for a particular service or good.

All Charges are due immediately and payment will be facilitated by Piqla Platform via the Piqla Platform using the preferred payment method designated in your Account, after which the Piqla Platform will send you a receipt by email. If your primary Account payment method is determined to be expired, invalid or otherwise not able to be charged, you agree that Piqla Platform via the Piqla Platform may, as the Third Party Provider’s limited payment collection agent, use a secondary payment method in your Account, if available.

As between you and Piqla Platform, Piqla Platform reserves the right to establish, remove and/or revise Charges for any or all services or goods obtained through the use of the Services at any time in Piqla Platform’ sole discretion. Further, you acknowledge and agree that Charges applicable in certain geographical areas may increase substantially during times of high demand. Piqla Platform will use reasonable efforts to inform you of Charges that may apply, provided that you will be responsible for Charges incurred under your Account regardless of your awareness of such Charges or the amounts thereof. Piqla Platform may from time to time provide certain users with promotional offers and discounts that may result in different amounts charged for the same or similar services or goods obtained through the use of the Services, and you agree that such promotional offers and discounts, unless also made available to you, shall have no bearing on your use of the Services or the Charges applied to you. You may elect to cancel your request for services or goods from a Third Party Provider at any time prior to such Third Party Provider’s arrival, in which case you may be charged a cancellation fee.

This payment structure is intended to fully compensate the Third Party Provider for the services or goods provided. Piqla Platform does not designate any portion of your payment as a tip or gratuity to the Third Party Provider. Any representation by Piqla Platform (on the Piqla Platform’s websites, in Piqla Platform’ marketing materials or elsewhere) to the effect that tipping is “voluntary,” “not required,” and/or “included” in the payments you make for services provided is not intended to suggest that Piqla Platform provides any additional amounts, beyond those described above, to the Third Party Provider. You understand and agree that, while you are free to provide additional payment as a gratuity to any Third Party Provider who provides you with services or goods obtained through the Service, you are under no obligation to do so. Gratuities are voluntary. After you have received services or goods obtained through the Service, you will have the opportunity to rate your experience and leave additional feedback about your Third Party Provider.

Repair or Cleaning Fees

You shall be responsible for the cost of repair for damage to, or necessary cleaning of the vehicles and property resulting from use of the Services under your Account in excess of normal “wear and tear” damages and necessary cleaning (“Repair or Cleaning”). In the event that a Third Party Provider reports the need for Repair or Cleaning, and such Repair or Cleaning request is verified by Piqla Platform in Piqla Platform’ reasonable discretion, Piqla Platform reserves the right to charge you payment for the reasonable cost of such Repair or Cleaning using your payment method designated in your Account. Such payments shall remain non-refundable.

Payment pre-authorization

You pre-authorize Piqla Platform to temporarily hold an estimated amount on your payment method while booking a Service to make sure there is sufficient balance. You understand that the amount held is an estimate of the booking charges and is not an actual charge for use of the Services or transportation services provided by the Third Party Providers.

Any portion of such pre-authorized amount which is not applied towards the payment of Charges will then be made available to you in accordance with the terms and conditions of the Piqla Platform. Piqla Platform Group shall have no liability whatsoever in respect of payment preauthorizations.

5. Disclaimers; Limitation of Liability; Indemnity.

DISCLAIMER.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” THE PIQLA PLATFORM DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN ADDITION, THE PIQLA PLATFORM MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY OR AVAILABILITY OF THE SERVICES OR ANY SERVICES OR GOODS REQUESTED THROUGH THE USE OF THE SERVICES, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. THE PIQLA PLATFORM DOES NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF THIRD PARTY PROVIDERS. YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY SERVICE OR GOOD REQUESTED IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.

LIMITATION OF LIABILITY.

THE PIQLA PLATFORM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, EVEN IF THE PIQLA PLATFORM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE PIQLA PLATFORM SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF: (i) YOUR USE OF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS OR USE THE SERVICES; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD PARTY PROVIDER, (iii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND THE DRIVER OF PIQLA VEHICLE WHICH HAPPENED OUTSIDE THE SCOPE OF SERVICES OFFERED BY PIQLA, EVEN IF THE PIQLA PLATFORM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE PIQLA PLATFORM SHALL NOT BE LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND THE PIQLA PLATFORM’S REASONABLE CONTROL. YOU ACKNOWLEDGE THAT THIRD PARTY TRANSPORTATION PROVIDERS PROVIDING TRANSPORTATION SERVICES REQUESTED THROUGH SOME REQUEST BRANDS MAY OFFER RIDESHARING OR PEER-TO-PEER TRANSPORTATION SERVICES AND MAY NOT BE PROFESSIONALLY LICENSED OR PERMITTED. IN NO EVENT SHALL THE PIQLA PLATFORM’S TOTAL LIABILITY TO YOU IN CONNECTION WITH THE SERVICES FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED EUROS FIVE HUNDRED (€500) OR ITS EQUIVALENT IN YOUR ACCOUNT CURRENCY.

THE PIQLA PLATFORM’S SERVICES MAY BE USED BY YOU TO REQUEST AND SCHEDULE TRANSPORTATION SERVICES, BUT YOU AGREE THAT THE PIQLA PLATFORM HAS NO RESPONSIBILITY OR LIABILITY TO YOU RELATED TO ANY TRANSPORTATION SERVICES PROVIDED TO YOU BY THIRD PARTY PROVIDERS OTHER THAN AS EXPRESSLY SET FORTH IN THESE TERMS.

THE LIMITATIONS AND DISCLAIMER IN THIS SECTION 5 DO NOT PURPORT TO LIMIT LIABILITY OR ALTER YOUR RIGHTS AS A CONSUMER THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

Indemnity.

You agree to indemnify and hold the Piqla Platform and its officers, directors, employees and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees) arising out of or in connection with: (i) your use of the Services or services obtained through your use of the Services; (ii) your breach or violation of any of these Terms; (iii) Piqla Platform’s use of your User Content; or (iv) your violation of the rights of any third party, including Third Party Providers.

6. Governing Law; Arbitration.

This Agreement is governed by and construed in accordance with the laws of the jurisdiction in which the relevant Piqla Platform entity with whom you have contracted is incorporated, without giving effect to any conflict of law principles, except as may be otherwise provided in supplemental terms applicable to your region. The Vienna Convention on the International Sale of Goods of 1980 (CISG) shall not apply. Any dispute, conflict, claim or controversy arising out of or broadly in connection with or relating to the Services or these Terms, including those relating to its validity, its construction or its enforceability (any “Dispute”) will be first mandatorily submitted to mediation proceedings under the International Chamber of Commerce Mediation Rules (“ICC Mediation Rules”). If such Dispute has not been settled within sixty (60) days after a request for mediation has been submitted under such ICC Mediation Rules, such Dispute can be referred to and will be exclusively and finally resolved by arbitration under the Rules of Arbitration of the International Chamber of Commerce (“ICC Arbitration Rules”). The ICC Rules’ Emergency Arbitrator provisions are excluded. The Dispute will be resolved by one (1) arbitrator to be appointed in accordance with the ICC Rules. The place of both mediation and arbitration will be in the city in which the applicable Piqla Platform with which you have a Dispute has its registered office. The language of the mediation and/or arbitration will be French, unless you do not speak French, in which case the mediation and/or arbitration will be conducted in both French and your native language. The existence and content of the mediation and arbitration proceedings, including documents and briefs submitted by the parties, correspondence from and to the International Chamber of Commerce, correspondence from the mediator, and correspondence, orders and awards issued by the sole arbitrator, will remain strictly confidential and will not be disclosed to any third party without the express written consent from the other party unless: (i) the disclosure to the third party is reasonably required in the context of conducting the mediation or arbitration proceedings; and (ii) the third party agrees unconditionally in writing to be bound by the confidentiality obligation stipulated herein.
